1. Who This Agreement Is Between

These Terms & Conditions ("Terms") are a legal agreement between ShikshaCloud and the school/college.

By creating an account or using the ShikshaCloud platform in any way, your Institution agrees to be bound by these Terms.

Binding Mutual Obligation: Access to administrative dashboards, staff credentials, or student records signifies full acceptance of this agreement on behalf of the registered legal entity.
02

2. What ShikshaCloud Is

ShikshaCloud is a cloud-based, AI-assisted Enterprise Resource Planning (ERP) platform for schools and colleges, including but not limited to student records management, attendance, fee management, compliance reporting (NEP/NAAC/NBA), the Ved conversational assistant, Document Studio, and role-based access controls.

We may add, modify, or discontinue features from time to time. Material reductions in core functionality will be communicated in advance where reasonably possible.

03

3. Eligibility and Account Responsibility

  • The Institution must designate one or more authorized administrators responsible for managing user accounts, roles, and access within ShikshaCloud.
  • The Institution is responsible for the accuracy of data entered into the platform and for ensuring that only authorized personnel, students, or guardians are granted access under appropriate roles.
  • Login credentials must not be shared. The Institution is responsible for all activity conducted under its accounts.
04

4. Subscription, Pricing, and Payment

  • ShikshaCloud is offered on a per-student, tiered pricing basis, with commercial terms confirmed individually per Institution in a signed order form or quotation.
  • No general free trial is offered.
  • Institutions onboarding under the Founding Partner Scheme (first five Institutions) receive a free 3-month trial. No discount is included in the Founding Partner Scheme.
  • Any discount is available only for eligible Volume School Network arrangements and must be confirmed in a signed order form or quotation.
  • Fees are billed monthly, on a per-student basis, in advance, via bank transfer or an approved online payment gateway.
05

5. Data Ownership and Use

🛡️ Governed under DPDP Act, 2023
  • All student, staff, and institutional data entered into ShikshaCloud remains the property of the Institution. ShikshaCloud does not claim ownership over Institution data.
  • ShikshaCloud acts as a data processor on behalf of the Institution (the data controller/fiduciary) for the purposes of the DPDP Act, 2023, in respect of personal data of students, staff, and guardians.
  • We will not sell Institution data to third parties. Data may be used in aggregated, anonymized form for product improvement and analytics.
  • On termination, the Institution may request export of its data within 30 days before deletion from our systems, in line with standard data retention practice.
06

6. The Ved AI Assistant

  • Ved is provided as a tool to assist staff with routine data entry and retrieval. While designed for accuracy, Ved-generated entries should be periodically reviewed by the Institution's designated staff.
  • ShikshaCloud is not liable for decisions made solely on the basis of unreviewed AI-generated output.
07

7. Acceptable Use

The Institution agrees not to:

  • •Use the platform to store or transmit unlawful, defamatory, or infringing content.
  • •Attempt to reverse-engineer, resell, or sublicense the platform without written consent.
  • •Use the platform in a manner that could disrupt or overburden ShikshaCloud's infrastructure.
08

8. Intellectual Property

ShikshaCloud, its logo, the Ved assistant, Document Studio, and all underlying software remain the intellectual property of [legal entity name]. Nothing in these Terms transfers ownership of our IP to the Institution.

09

9. Service Availability

We target 99.5% uptime, measured monthly, excluding scheduled maintenance. Planned maintenance will be communicated at least 24 hours in advance where possible. This is a target, not a guaranteed SLA with financial credits — a formal SLA with service credits can be negotiated separately for enterprise/multi-year contracts.

10

10. Termination

  • Either party may terminate this agreement only with 60 days' prior written notice.
  • ShikshaCloud may suspend or terminate access immediately in cases of non-payment, breach of these Terms, or unlawful use.
  • On termination, Section 5 (Data ownership and use) governs data return and deletion.
11

11. Limitation of Liability

To the maximum extent permitted by law, ShikshaCloud's total liability arising from use of the platform shall not exceed the fees paid by the Institution in the 12 months preceding the claim. ShikshaCloud is not liable for indirect, incidental, or consequential damages.

12

12. Indemnification

The Institution agrees to indemnify ShikshaCloud against claims arising from the Institution's misuse of the platform, inaccurate data entry, or violation of applicable law (including data protection obligations owed to students and guardians).
